TERMS & CONDITIONS

These terms and conditions (“Agreement”) constitute a legal agreement between you (“User”) and Syronica, owned and operated by Tithonic LLC, for the use of the Syronica platform and related services (collectively, “Syronica”).

By accessing or using Syronica, you agree to be bound by this Agreement. If you do not agree to the terms of this Agreement, you may not access or use Syronica.

Purpose and Use of Syronica
1.1. Syronica is an information platform that provides information about providers of medical and health services (referred to as “Medical Providers”). The purpose of Syronica is to make information on Medical Providers, their services, and estimated costs available to portal Users.
1.2. Syronica is intended for private individuals over 18 years of age. Users may use Syronica services on behalf of a third party under 18 years of age.
1.3. Information about Medical Providers displayed on the Syronica portal is based on data communicated by the providers themselves or obtained from various online and offline sources. While Syronica administrators carefully analyze, monitor, and update the information, it is not guaranteed to be accurate, comprehensive, or correct. Syronica is not responsible for any errors, misprints, inaccurate, misleading, or false information communicated by Medical Providers. 1.4. Syronica should not be considered as an unequivocal recommendation of a specific Medical Provider or confirmation of the quality, level, and qualification of their services. The Syronica portal is not a substitute for medical advice and is purely informative.

Syronica Services 2.1. Syronica provides organizational services to Users, with the cost of each service calculated separately or as a service package. A detailed inventory of services is included in the individual proposal provided to the patient or customer. 2.2. Syronica does not refer Users to specific Medical Providers but only informs about possible options for diagnosis, treatment, and rehabilitation based on the User’s needs, including a convenient period of time, geographical location, medical indications, etc. Thus, the User is provided with recommendations for possible options and a list of Medical Providers with information on their specialization. The User has the right to choose one of them and use their services. 2.3. Syronica facilitates communication between the User and the Medical Provider, and the Medical Services Contract is concluded directly between the User and the Medical Provider. Syronica does not influence the doctor’s advice regarding diagnosis/treatment. 2.4. Syronica also provides Users with Additional Services that make a trip for treatment easier and faster to arrange. The cost of each service is calculated individually or bundled into a single package. Syronica services include, but are not limited to:

Response to the request within 24 hours

Support in selecting a clinic based on the disease type

Accelerated request processing and doctor appointment booking

Visa support, including a letter of invitation from the clinic to obtain a medical treatment visa

Letter for passport control if the visa has been granted

Visa extension if necessary to continue examination or treatment

Individual manager for the entire duration of the medical program

Program coordination by the Syronica doctor

Consultations with doctors in one or several clinics

Negotiations on optimizing the cost of diagnosis and treatment

Account control, return of unused funds

Medical support for 3 months following the treatment

Assistance in purchasing and delivery of medicines

Transfer services from and to the airport and around the city

Air and overland medical transportation services

Insurance against unbudgeted expenses

Support in booking travel tickets and hotel rooms

Medical Translator-Coordinator

Arrangement of a consultation by correspondence with detailed recommendations for treatment

Audit of quality control at all stages of service

Responsibilities of the Parties

3.1. The User undertakes to use the SYRONICA portal only for the purposes specified in this Agreement and not to use it in a way that could cause damage to SYRONICA, other Users, or third parties. 3.2. The User undertakes not to use the SYRONICA portal to perform actions that violate current legislation, intellectual property rights, or legitimate interests of third parties. 3.3. SYRONICA undertakes to ensure the uninterrupted and continuous operation of the portal, except for cases of force majeure, planned preventive or other work that may affect the operation of the portal. 3.4. SYRONICA undertakes to ensure the confidentiality and protection of personal data provided by the User. Personal data will be processed in accordance with the Privacy Policy of the SYRONICA portal. 3.5. SYRONICA undertakes to provide services in accordance with the terms and conditions of this Agreement and the Additional Service Contract.

Termination of the Agreement

4.1. This Agreement is considered terminated when the User stops using the SYRONICA portal. 4.2. SYRONICA has the right to terminate the Agreement at any time if the User violates any of the provisions of this Agreement or the Additional Service Contract. 4.3. The User has the right to terminate the Agreement at any time by sending a written notice to SYRONICA. 4.4. The termination of this Agreement shall not affect the rights and obligations of the Parties that arose during the period of validity of the Agreement.

Payment Terms 5.1. The User pays for the SYRONICA services rendered under this Agreement on the terms and in the manner specified in the individual proposal. The proposal specifies the package of services, their costs, and the time for providing the services. The package of services may include both SYRONICA Services and Additional Services. 5.2. The User may pay for the services using any of the payment methods specified in the proposal. Payments are made in the currency specified in the proposal. All transaction fees are borne by the User. 5.3. The User is responsible for paying any additional costs not specified in the proposal, such as medical examination, treatment, or transportation services. SYRONICA is not responsible for the quality and cost of additional services not included in the package of services. 5.4. If the User cancels the services agreed upon in the proposal, SYRONICA refunds the unused balance of funds within 30 business days from the date of the written request. 5.5. If SYRONICA cancels the services agreed upon in the proposal, the User is refunded the full amount paid for the unused balance of funds within 30 business days from the date of the written notice.

Limitation of Liability, Indemnification 6.1. SYRONICA is an information and analytical portal designed to search for Medical Providers and doctors of the required specialization, qualifications, working experience, or medical services. Information about doctors displayed on the Site is obtained by the SYRONICA Administrators directly from Medical Providers or from doctors themselves, or from other online or offline sources. The SYRONICA administrators take measures to verify this information and exclude false information. 6.2. The SYRONICA administrators take all measures to verify the information to be displayed on the Site that has been provided by Medical Providers and doctors, including information on the availability of the license. At the same time, the SYRONICA administrators check whenever possible that the information is up to date. 6.3. Information about medical services, doctors’ specializations, diseases, diagnostic methods and treatment options is provided for reference purposes only. The SYRONICA administrators do not guarantee its reliability and compliance with modern scientific achievements. 6.4. The SYRONICA administrators strongly recommend to seek qualified medical help by contacting doctors of respective specialization directly, including those whose profiles are displayed on the portal. The SYRONICA administrators are in no event responsible for the quality of medical services provided by doctors or Medical Providers whose profiles are displayed on the portal. 6.5. With the exception of the cases specified in this Agreement and the Medical Services Contract, SYRONICA does not give any guarantees for the quality of medical services provided by Medical Providers. 6.6. Using the SYRONICA portal, the User confirms his consent to these Terms and takes over all risks and liabilities arising from the use of the portal, including financial risks.

7 Protection of intellectual property

7.1. All information provided on the SYRONICA portal, including texts, layouts, logo, site functional structure, organization system, is the property of SYRONICA and is protected by copyright law.

7.2. Any use, publication, or reproduction of materials presented on the portal without the written permission of SYRONICA is prohibited. When using any information from the SYRONICA portal, an active link referring to the source is mandatory.

7.3. All materials displayed on the site can be used only for informational, non-commercial purposes. Any copying of information aimed at preparing commercial offers is illegal and will be prosecuted under the laws of the  WY United States.

Force Majeure 8.1. Force majeure refers to an event coming from outside, which cannot be foreseen and prevented with the greatest diligence possible. Typically, these events affect the Agreement parties from the outside and cannot be taken into account by the parties when drafting the Agreement. Even though the maximum possible diligence cannot prevent such an event, then this is a force majeure case. Unpreventable events include, for example, a fire, natural disasters, and military actions of any kind or any restrictions by the authorities. 8.2. If any circumstances prevent a Party from complying with any of its obligations under this Agreement, the affected Party shall notify the other Party of the onset and termination of such circumstances not later than 7 days from the date of their occurrence. If these circumstances cannot be eliminated, then both parties can terminate their contractual relationship, which is recorded in writing. 8.3. Documents of the relevant bodies will be proper proof of the above circumstances.

9 Applicable law

9.1. All disputes and disagreements arising as a result of the implementation of the Agreement shall be resolved through negotiations. All claims must be submitted in writing. For presentation of claims and causes under the Agreement, a one-month period after the end of the treatment is set. Once the deadline has expired, no claims can be made, except in cases of gross violations of the Agreement terms.

9.2. In case it is impossible to reach a common solution by peaceful means, all disputes shall be brought in the court of first instance in the territory in which the Service Provider has its registered office, if the User does not have its jurisdiction in the United States of America.

10 Effect of specific provisions of the Agreement

In the event that one clause in this Agreement is or becomes legally invalid, then the remaining clauses of the Agreement will not be affected.

11 Changes to the Agreement

SYRONICA reserves the right to modify or amend the terms of this Agreement at any time by posting a new version on the SYRONICA portal with the updated date. It is the User’s sole responsibility to regularly review the Agreement posted on the portal for any changes or updates. By continuing to use the SYRONICA portal, the User agrees to be bound by the modified terms of this Agreement.

12 Governing Law and Jurisdiction

This Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Wyoming.

Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall be settled by arbitration in accordance with the rules of the American Arbitration Association (AAA) then in effect, and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. The place of arbitration shall be Casper, Wyoming. The language of the arbitration shall be English.

13 Entire Agreement

This Agreement constitutes the entire agreement between the User and SYRONICA with respect to the use of the SYRONICA portal and supersedes all prior or contemporaneous agreements or understandings, whether written or oral, regarding the use of the SYRONICA portal.
